Jean Smith has been a director since December 2003.  Ms. Smith is Chairperson of the Audit Committee and is a member of the Nominating and Governance Committee. Ms. Smith is Managing Director of Plainfield Asset Management.  She had been a private investor and consultant from 2001-September 2006. From 1998 to 2001, Ms. Smith was a Managing Director of Corporate Finance for U.S. Bancorp Libra, a unit of U.S. Bancorp Investments, Inc., a subsidiary of U.S. Bancorp. Ms. Smith has approximately 25 years of investment and international banking experience, having held positions with Banker Trust Company, Citicorp Investment Bank, Security Pacific Merchant Bank and UBS Securities.
